SERVICES

1. Sessions & Scheduling

🔹 All sessions are conducted via phone or video conference unless otherwise agreed upon. You will receive a Zoom link upon booking.
🔹 Please arrive on time to maximize your session benefits.
🔹 The length and frequency of sessions are established during the registration process. Any service outside the agreed scope requires a separate agreement.

2. Purpose of Services

The services provided are intended for educational and personal development purposes. They support clients in awakening their spiritual gifts and aligning with their highest potential. These services do not replace medical, psychological, or legal advice.

3. Cancellations & Rescheduling

🔹 24-hour notice is required for cancellations or rescheduling.
🔹 Failure to cancel or reschedule within this timeframe will forfeit the pre-paid session fee.
🔹 If rescheduling within 7 days, the payment may be applied to a future session with a $25 rescheduling fee.
🔹 Emergencies (illness, accident, etc.) will be accommodated, but non-emergency no-shows will result in a $25 penalty fee or a 20-minute deduction from a future session.

4. Payment Terms

🔹 All sessions must be paid in full at the time of booking via Stripe or PayPal.
🔹 Clients are responsible for resolving any payment processing issues directly with their payment provider.
🔹 Recurring payments (if applicable) will be billed on the same day each month as per the chosen payment plan.
🔹 Clients authorize automatic deductions for each scheduled payment.

5. Failed Payments & Late Fees

🔹 If a payment fails (due to expired credit card, insufficient funds, or other issues), the client must resolve it within 7 days.
🔹 Failure to update or correct the payment method within this timeframe will result in temporary suspension of services until payment is received.
🔹 A $25 late fee will be applied if payment is not received within 7 business days.

6. Payment Schedule

🔹 The payment plan and schedule are selected at checkout.
🔹 Any changes require 72 business hours' notice and must be approved at Nancy Cooper’s discretion.

7. Chargebacks & Disputes

🔹 Clients agree not to dispute charges or initiate chargebacks without prior written consent.
🔹 If a chargeback is initiated, the consultant reserves the right to:
✔ Submit these Terms of Use as evidence to the payment provider.
✔ Report unpaid balances to credit agencies as a delinquent account.

8. Access to Services

🔹 Services and course materials are provided incrementally based on the payment schedule.
🔹 Clients will not receive full access to the program until all scheduled payments are completed.
🔹 If a payment fails and is not remedied within 7 days, no further services will be provided. Clients will only retain access to the portion of services already paid for.

9. Membership Payments & Non-Refundable Policy

🔹 Due to the digital nature of all membership spaces, the monthly fee is non-refundable.
🔹 Payment for services and materials is considered fully earned at the time of purchase.
🔹 No refunds are provided under any circumstances, regardless of:
✔ Whether or not the services have been rendered.
✔ Whether or not the membership has been utilized.

10. The Sacred Feminine Society Membership

🔹 This membership operates on a month-to-month basis with no long-term contracts.
🔹 Clients may cancel at any time, but:
✔ It is the client’s responsibility to cancel before the next billing cycle.
✔ Failure to cancel before the next payment will not result in a refund.
🔹 Cancellation instructions are available in the membership portal.
🔹 Upon cancellation, membership access will be revoked within 24 hours.

11. Refund & Credit Policy

🔹 No refunds will be issued for:
Donations, sessions, challenges, or workshops.
✔ Services not rendered due to a client’s failure to cancel within 24 hours.
🔹 In some cases, at Nancy Cooper’s discretion, a missed session may be applied as a credit toward another service, but this is not guaranteed and is typically forfeited.

All digital purchases, including memberships, are non-refundable. Clients are responsible for reviewing all terms before purchase.

12. Privacy & Confidentiality in Private Coaching Sessions

🔹 The coach agrees to maintain strict confidentiality regarding all client discussions.
🔹 No personal thoughts, ideas, or information shared by the client will be disclosed to any third party without the client’s express written permission, unless:
✔ The information has been de-identified (e.g., name changed).
✔ Disclosure is required by law (e.g., court orders, investigations).

13. Exceptions to Confidentiality

Confidentiality does not apply to information that:
(a) Was already in the coach’s possession before being disclosed by the client.
(b) Is publicly known or available in the client’s industry.
(c) Must be disclosed by law (e.g., legal requirements, mandatory reporting obligations).

14. Business & Intellectual Property Protection

🔹 Both parties may disclose confidential business information during coaching.
🔹 “Confidential Business Information” includes, but is not limited to:
✔ Business strategies, marketing plans, trade secrets, proprietary frameworks, data, and non-public operations.
✔ All materials, resources, or proprietary systems provided within coaching programs.
✔ Any intellectual property or non-public business information shared with the client.
🔹 The client may use this information only to market their own business but may NOT:
❌ Sell, rent, share, or claim ownership of proprietary content.
❌ Disassemble, duplicate, or reverse-engineer any protected material.

15. Unauthorized Disclosure

Any unauthorized disclosure or misuse of confidential information:
✔ Will be considered a breach of this agreement.
✔ May result in legal action to:

  • Prevent further violations.

  • Pursue damages and legal remedies as permitted by law.

16. Client Testimonials & Shared Wins

🔹 If a client shares their experience, transformation, or feedback related to Nancy Cooper’s programs through any of the following methods:

  • Messaging apps (e.g., private messages, DMs, Voxer, etc.)

  • Email communications

  • Comments on social media platforms

  • Public testimonials, forum discussions, or shared posts

  • Any other publicly accessible format

The client gives permission for Nancy Cooper and her team to quote, share, or use these statements as testimonials or examples across various platforms, including:

  • Sales pages

  • Social media posts

  • Marketing materials

  • Emails or newsletters

  • Other promotional or educational content

🔹 Privacy Protection

  • If a testimonial or feedback is shared publicly, it may be used in marketing materials as is (e.g., public social media comments, reviews, etc.).

  • If a testimonial or shared win is taken from private communication, identifying details will be removed unless the client provides explicit permission.

  • Client testimonials may be formatted as First Name + Last Initial, or remain fully anonymous at the client’s request.

17. Reputation & Professional Conduct

🔹 The Client agrees not to make false, misleading, or disparaging statements about Nancy Cooper, her business, or services that could negatively impact her reputation, credibility, or brand.

🔹 This includes:
❌ Posting defamatory or false claims on social media, public forums, or reviews.
❌ Sharing misleading statements that intentionally harm Nancy Cooper’s business, products, or services.

Clients are encouraged to provide honest feedback and any concerns should be addressed directly with Nancy Cooper or her team first.

AFFILIATES

1. Affiliate Relationship
We may partner with affiliates, referral partners, and certified practitioners who promote The Untangled Method, our programs, or services. These individuals may receive a commission or compensation for referrals that result in a purchase.

2. No Guaranteed Earnings
While we provide tools and support for affiliates, we do not guarantee any level of income. Earnings depend on individual effort, audience engagement, and marketing effectiveness.

3. FTC Compliance
Affiliates must comply with all applicable laws and regulations, including Federal Trade Commission (FTC) guidelines on endorsements and disclosures. This means:

  • Affiliates must clearly disclose their financial relationship with us when promoting our programs.

  • No false claims, misleading income promises, or exaggerated results may be used in promotions.

Failure to comply may result in immediate termination of the affiliate relationship.

4. Prohibited Marketing Practices
Affiliates may not:
🚫 Engage in spam marketing, fake testimonials, or misleading claims.
🚫 Bid on trademarked terms in paid ads (e.g., "Untangled Method").
🚫 Promote using unethical, illegal, or deceptive tactics.

5. Termination & Violation Consequences
We reserve the right to terminate an affiliate relationship at any time if we determine that an affiliate has:

  • Violated FTC guidelines or ethical marketing standards.

  • Misrepresented The Untangled Method or Nancy Cooper.

  • Engaged in practices that could harm our brand reputation.

By participating as an affiliate, you agree to these terms and acknowledge that violating them may result in termination and forfeiture of commissions.

MISCELLANEOUS

🔹 Entire Agreement:
These Terms of Use, along with the Privacy Policy, constitute the full and complete agreement between Nancy Cooper (the “Consultant”) and you (the “Client”) regarding your access to and use of this Website, as well as any purchase of services or products.
This agreement supersedes any prior agreements, negotiations, or understandings, whether oral or written.

🔹 Indemnification & Liability:
The Client agrees to indemnify and hold harmless Nancy Cooper, her affiliates, officers, employees, and agents from any third-party claims, demands, liabilities, losses, or damages—including legal fees—arising from:

  • The Client’s use or misuse of any services, programs, or products.

  • Any breach of these Terms.

  • Negligence, misconduct, or unlawful actions by the Client.

If a claim is made, the Consultant will provide the Client with written notice.

🔹 Governing Law & Dispute Resolution:
These Terms are governed and interpreted under the laws of the State of Virginia, U.S.A., without regard to conflict of law principles.

  • Binding Arbitration: Any disputes must be resolved through binding arbitration in the State of Virginia, County of Hanover.

  • No Jury or Class Actions: By agreeing to these Terms, you waive your right to a jury trial or participation in class action lawsuits.

🔹 Assignment & Waivers:

  • Clients may not transfer or assign their rights or obligations under these Terms without written consent. Any attempt to do so shall be null and void.

  • Nancy Cooper reserves the right to assign or transfer rights and obligations under these Terms at any time.

  • No waiver of any provision in these Terms is valid unless made in writing and signed by the party granting the waiver.

🔹 Severability:
If any part of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remainder of the Terms shall remain in full force and effect. The invalid portion will be modified or removed only to the extent necessary to maintain the agreement's enforceability.
